Our services include but are not limited to demand forecasting models, market trend analysis, competitive intelligence, consumer insights, data integration and processing, custom analytics solutions, and ongoing consultation and support services.

Specific service details, deliverables, timelines, and pricing are outlined in separate service agreements or statements of work executed between flowprotrixum and individual clients.

User Obligations

You agree to use our services only for lawful purposes and in accordance with these Terms. You are responsible for ensuring that your use of our services complies with all applicable laws, regulations, and industry standards in your jurisdiction.

You must provide accurate, current, and complete information when requesting services or creating accounts. You are responsible for maintaining the confidentiality of any login credentials and for all activities that occur under your account.

Intellectual Property

All content, materials, analytics methodologies, software, algorithms, reports, and other intellectual property provided by flowprotrixum remain our exclusive property or the property of our licensors. This includes but is not limited to our proprietary analytics models, forecasting algorithms, market research methodologies, and any custom solutions developed for clients.

We grant you a limited, non-exclusive, non-transferable licence to use our services and any deliverables solely for your internal business purposes and in accordance with your service agreement. You may not copy, modify, distribute, sell, or lease any part of our services or intellectual property.

You retain ownership of any data you provide to us for analytics purposes. By providing data to flowprotrixum, you grant us a licence to use, process, and analyse such data solely for the purpose of providing our services to you.

Any feedback, suggestions, or improvements you provide regarding our services may be used by flowprotrixum without restriction or compensation to you.

Data Protection and Privacy

We are committed to protecting your privacy and handling your personal data in accordance with applicable data protection laws, including the General Data Protection Regulation (GDPR). Service Availability and Performance

We strive to maintain high availability and performance of our services, but we cannot guarantee uninterrupted or error-free operation. Our services may be subject to planned maintenance, updates, or temporary unavailability due to technical issues.

We make commercially reasonable efforts to ensure the accuracy and reliability of our analytics and forecasting services, but we do not guarantee specific results or outcomes. Market conditions, external factors, and data quality can affect the performance of analytics models.

Service level agreements, performance metrics, and support terms for business clients are specified in individual service agreements.

Payment Terms

Payment terms for our services are specified in individual service agreements or invoices. Unless otherwise agreed, invoices are payable within 30 days of the invoice date.

All fees are exclusive of applicable taxes, which will be added to invoices where required by law. Clients are responsible for any bank charges or transaction fees associated with payments.

We reserve the right to suspend services for overdue accounts and to charge interest on late payments at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

Limitation of Liability

To the maximum extent permitted by applicable law, flowprotrixum's total liability for any claims arising out of or related to these Terms or our services shall not exceed the total amount paid by you to flowprotrixum in the twelve months preceding the claim.

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, even if we have been advised of the possibility of such damages.

Our analytics services are provided for informational and decision-support purposes. We do not guarantee the accuracy of forecasts or the success of business decisions made based on our analytics. You acknowledge that business decisions involve inherent risks and that our services are tools to inform, not replace, your business judgement.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited under applicable law.

Indemnification

You agree to indemnify, defend, and hold harmless flowprotrixum, its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

This indemnification obligation includes reasonable legal fees and expenses incurred in defending against such claims. We reserve the right to assume the exclusive defence and control of any matter subject to indemnification by you.

Confidentiality

Both parties acknowledge that they may have access to confidential information during the course of our business relationship. Confidential information includes proprietary analytics methodologies, client data, business strategies, and any other non-public information.

Each party agrees to maintain the confidentiality of such information and not to disclose it to third parties without prior written consent, except as required by law or as necessary to provide the agreed services.

This confidentiality obligation survives the termination of our business relationship and continues for a period of five years after such termination.

Governing Law

These Terms and any disputes arising out of or related to these Terms or our services shall be governed by and construed in accordance with the laws of Portugal, without regard to its conflict of law principles.

Any legal action or proceeding arising under these Terms will be brought exclusively in the courts of Lisbon, Portugal, and the parties hereby consent to the personal jurisdiction and venue of such courts.

If you are a consumer resident in the European Union, you may have additional rights under local consumer protection laws, and nothing in these Terms affects such rights.

Termination

These Terms remain in effect until terminated by either party. You may stop using our services at any time. We may suspend or terminate your access to our services immediately, without prior notice, if you breach these Terms or engage in conduct that we determine to be harmful to our business or other users.

Upon termination, your right to use our services ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property rights, limitation of liability, indemnification, and governing law.

For ongoing service agreements, termination terms are specified in the individual agreements between flowprotrixum and business clients.

Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms that is due to fire, flood, earthquake, pandemic, governmental action, war, terrorism, or other causes beyond the reasonable control of such party.

The affected party must promptly notify the other party of such circumstances and make reasonable efforts to mitigate the effects of the force majeure event.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.

Entire Agreement

These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and flowprotrixum regarding the use of our services and supersede all prior and contemporaneous written or oral agreements between the parties.

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition.
